Terms of Service

1. Acceptance of Terms

By accessing or using MixinMEup (the "Platform", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Platform.

2. Description of Service

MixinMEup is an online platform that connects musicians, bands, venues, festivals, service providers, and music fans. The Platform allows users to create profiles, publish content, discover and promote live music events, and engage with other members of the music community. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time with reasonable notice where practicable.

3. Eligibility

You must be at least 13 years of age to use MixinMEup. If you are between 13 and the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By creating an account, you represent that all information you provide is accurate and that you meet the eligibility requirements above. We reserve the right to refuse service, terminate accounts, or remove content at our discretion, including where we have reason to believe eligibility requirements have not been met.

4. User Accounts & Security

When creating an account, you must provide accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account, whether or not authorized by you
• Notifying us promptly at support@mixinmeup.com if you suspect unauthorized access to your account
• Ensuring your account information remains accurate and up to date

We are not liable for any loss or damage arising from your failure to maintain the security of your credentials. We reserve the right to suspend or terminate accounts where we have reason to believe a security breach has occurred or these Terms have been violated.

5. User Content

"User Content" means any content you submit, post, or transmit through the Platform, including text, photos, videos, music recordings, setlists, event listings, articles, comments, and reactions.

Ownership

You retain ownership of all User Content you create. We do not claim ownership of your content.

License Grant

By posting User Content on the Platform, you grant MixinMEup a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, adapt, and promote your content solely in connection with operating, improving, and marketing the Platform. This licence terminates when you delete the content or close your account, except to the extent that the content has been shared with others and they have not deleted it, or where we are required to retain it by law.

Your Responsibilities

You represent and warrant that you own or have all necessary rights to post your User Content, that it does not infringe any third party's intellectual property rights, and that it complies with these Terms and all applicable laws. You are solely responsible for your User Content and the consequences of posting it.

6. Profiles and Identities

MixinMEup allows users to create multiple profile types, including Personal, Artist, Band, Venue, Festival, and Service Provider profiles. You may only create profiles for yourself or for entities you are authorized to represent.

Creating profiles that impersonate real individuals, organizations, or brands without authorization is strictly prohibited and may result in immediate account termination and referral to the appropriate authorities.

7. Events and Performances

Event listings on MixinMEup are created and managed by users. We do not independently verify event details and are not responsible for the accuracy, completeness, or reliability of any event information posted on the Platform.

MixinMEup is not a ticketing platform and does not facilitate, process, or guarantee any ticket sales or performance agreements. Any contractual arrangement — including booking agreements, performance contracts, or ticket purchases — made between users through or in connection with the Platform is solely between those parties. We are not a party to such arrangements and accept no liability in connection with them.

8. Prohibited Conduct

You agree not to:

• Post content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Impersonate any person or organization, or misrepresent your affiliation with any person or organization
• Infringe any patent, trademark, trade secret, copyright, or other proprietary right of any party
• Post unsolicited advertising, promotional material, spam, or any other form of unauthorized solicitation
• Transmit any software, code, or material that contains viruses, malware, or any destructive elements
• Collect, harvest, or store personal information about other users without their express consent
• Use automated scripts, bots, crawlers, or scrapers to access the Platform without our express written permission
• Circumvent, disable, or otherwise interfere with any security feature of the Platform
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• Use the Platform in any manner that could damage, disable, overburden, or impair our servers or networks
• Violate any applicable local, provincial, federal, or international law or regulation

9. Intellectual Property

The Platform — including its design, software, interface, logos, trade names, and trademarks — is owned by or licensed to MixinMEup and is protected by copyright, trademark, and other intellectual property laws of Canada and applicable foreign jurisdictions.

Nothing in these Terms transfers any ownership of our intellectual property to you. You may not copy, modify, distribute, sell, sublicence, or create derivative works based on our intellectual property without our prior written permission.

10. Third-Party Links and Services

The Platform may contain links to third-party websites or integrate with third-party services (such as social login providers, music streaming services, or mapping services). We are not responsible for the content, accuracy, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their own terms and policies, and we encourage you to review those before use.

11. Disclaimers and Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, MixinMEup and its officers, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising from or related to these Terms or your use of the Platform shall not exceed the greater of: (a) the total amount you paid us in the twelve months immediately preceding the claim; or (b) one hundred Canadian dollars (CAD $100). Some jurisdictions do not permit the exclusion of certain warranties or limitation of liability for certain types of damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MixinMEup and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your access to or use of the Platform; (b) your User Content; (c) your breach of these Terms; or (d) your infringement of any third party's rights.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without advance notice, where permitted by applicable law. Reasons may include violation of these Terms, conduct we determine to be harmful to other users or to the Platform, or requirements of applicable law.

You may close your account at any time through Settings → Account → Delete Account.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply, including Sections 5 (User Content — licence grant as noted), 9 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 14 (Governing Law).

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

15. Dispute Resolution

Before initiating any formal legal proceedings, we encourage you to contact us at legal@mixinmeup.com to attempt to resolve any dispute informally. We will make a good-faith effort to address your concerns within 30 days of receipt.

If a dispute cannot be resolved informally, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of the Province of Alberta, Canada, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Platform, or applicable law. When we make material changes, we will update the "Last updated" date at the top of this page and, where required by law, provide more prominent notice or obtain your consent.

Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.
